[Magpie QUBE Subscriber] Giveaway Draw

● These Terms and Conditions (“Terms”) apply to the Magpie Tech QUBE giveaway event (“Giveaway Draw”), which is conducted through a random selection of participants on YouTube for the prize specified herein. This Giveaway Draw is a promotional game that can be entered without any form of compensation. The Giveaway Draw is organized by Magpie Tech, located at 202, 34 Mapodaero 12-gil, Mapo-gu, Seoul, Republic of Korea.

● A total of three (3) winners will be selected, and three (3) QUBEs will be awarded.

● In the event of any conflict between these Terms and any other terms presented in connection with this Giveaway Draw, these Terms shall prevail.

● The Giveaway Draw is subject to applicable federal, state, and local laws and regulations.

Eligibility Requirements

● No purchase is necessary to enter or win the Giveaway Draw, and any purchase or payment will not increase a participant’s chances of winning.

● All natural persons who are 18 years of age or older at the time of entry are eligible to participate, provided that they complete the following actions:

(i) Watch the QUBE video on YouTube; and
(ii) Leave a comment under the QUBE video explaining why they would like to use QUBE or what they expect from it.

Example comment:
“Since it’s 3-in-1, I don’t need to carry separate tools anymore! I can’t wait to try it!”
Liking the video and subscribing to the Magpie Tech YouTube channel is not required but may increase the participant’s chances of being selected.

● All actions must be completed within 7 days from the YouTube video’s publication date (November 26, 2025 – December 2, 2025). Entries submitted outside this period will not be accepted.

● Completing the required actions within the period defined in Section 5 qualifies as one (1) entry to the Giveaway Draw. If a participant attempts to submit more than one entry, all additional entries may be removed from consideration without prior notice.

● The odds of winning depend on the total number of eligible entries received.

● By entering the Giveaway Draw, each participant fully and unconditionally agrees to these Terms and to all decisions made by Magpie Tech in connection with the Giveaway Draw, which shall be final and binding in all matters related to the event. Winning a prize is contingent upon fulfilling all requirements set forth in these Terms.

● All entries become the sole property of Magpie Tech. No confirmation of receipt will be provided. Magpie Tech is not responsible for any communication, network, electronic, technical, or computer errors, nor for any lost, delayed, incomplete, damaged, invalid, illegible, or misdirected entries.

Only fully completed entries with valid YouTube accounts are eligible. All ineligible entries will be disqualified. Magpie Tech accepts no responsibility for late or ineligible entries, or any entries not received for any reason whatsoever.

Additional rules:

● Prizes cannot be exchanged for cash or any other form of consideration.

● Any fraudulent participation, including using multiple or fake accounts, may result in disqualification.

● Influencers, internal staff, and employees of Magpie Tech or its affiliates are not eligible to participate.

Designation of winner

● Without prejudice to the conditions for participation in the Prize Draw, three(3) entries from eligible Contestants will be selected from the pool of all eligible entries and designated as Winning Contestants (the “Winning Contestants”), it being understood that each Winning Contestant will be eligible to receive the Prize (as defined below).

The winning entries will be selected by an external tool that is able to designate winners in an impartial manner based on random selection. A win may be subject to disqualification in accordance with paragraph 27 of these T&C. The draw will take place after the 7-day event period (Nov 26, 2025 – Dec 2, 2025). No Contestant can or needs to be present at the draw.

● The Prize Draw will have three (3) Winning Contestants, each of whom will be granted a prize in the form of one (1) QUBE.

● The announcement of the Winning Contestants will be made 1–2 days after the event ends via the video description and pinned comment under the QUBE video. Each Winning Contestant will be contacted via the email provided in the description/pinned comment (skye@magpie.kr) to collect shipping information.

● The Prize will be delivered free of charge to the address provided by the Winning Contestant. Delivery is expected to occur within 1–2 days after the winners are announced.

● If any Prize is unavailable for whatever reason, Magpie Tech reserves the right to substitute that Prize for an alternate prize of equal or greater value, subject to applicable law.

Tax liability of the Winning Contestant
in relation to accepting the Prize

● The Winning Contestant should seek independent financial or legal advice prior to acceptance of the Prize to determine if any tax, customs, or other financial implications may arise from his/her/their prize winning.

● Any liability, duty, or obligation in relation to any Prize, whether present or future, actual or contingent, ascertained, unascertained, or disputed, including the payment of any form of taxation, customs duties, or penalties to any tax or other authority, shall be the sole responsibility of the Winning Contestant who accepts the Prize.

For the avoidance of doubt, Magpie Tech shall not be responsible for any liability, tax, or other financial implications that may arise in connection with the Winning Contestant accepting any Prize.

Announcement of the winner and
acceptance of the Prize

● The Winning Contestants will be announced by Magpie Tech by notifying the Winning Contestants via (i) the email provided in the video description or pinned comment (skye@magpie.kr) for purposes of participating in the Prize Draw. A Winning Contestant will be deemed to have been notified at the earlier of (i) the moment the Winning Contestant receives and views the notification from Magpie Tech, or (ii) twenty-four (24) hours after the notifying message was sent by Magpie Tech to the Winning Contestant.

Magpie Tech has no liability for a Winning Contestant’s failure to receive notices due to spam filters, security settings, or provision of incorrect or non-functioning contact details.

● Magpie Tech will grant the Winning Contestant access to the Prize (one QUBE) through delivery to the address provided by the Winning Contestant, provided that the Winning Contestant has complied with all requirements set out in these T&C. Magpie Tech is not responsible for any lost or stolen prizes, or for prizes that are damaged, delayed, or lost in transit.

Liability cap and release plus indemnification

● The Winning Contestant acknowledges and agrees that, except where permitted by law, the total cumulative liability of Magpie Tech in connection with the Prize Draw and the related promotion is limited, in Magpie Tech’s discretion, to either resupplying the Prize, or paying the cost of resupplying the Prize. Magpie Tech will have no liability for any indirect loss or damage suffered by any Contestant or any Winning Contestant.

● Except where unable to be excluded by law, Contestants and the Winning Contestant release and indemnify Magpie Tech and its affiliates from and against all actions, penalties, liabilities, claims, or demands against Magpie Tech or that Magpie Tech may incur for any loss or damage which is or may be suffered or sustained as a direct or indirect result of:

● (i) a Contestant entering or winning the Prize Draw;
(ii) a Contestant accessing Magpie Tech’s YouTube content or website;
(iii) the receipt, ownership, possession, use, or misuse of any Prize awarded;
(iv) viruses or any downloading or other problems in connection with the Prize
Draw; or (v) any typographical or other error in these T&C or the announcement or offering of the Prize.

● The Winning Contestant bears all liability and risk of loss or damage to his, her, or their Prize after it has been delivered.

Use of personal data

● Magpie Tech will use any data submitted by any person in relation to the Prize Draw in accordance with Magpie Tech’sPrivacy Statement and for the purposes of the Prize Draw. By participating in the Prize Draw, each Contestant consents to the use of its personal data by Magpie Tech for the purposes of (a) the administration of this Prize Draw, (b) publicly announcing the information listed in paragraph 20 hereof in relation to the Winning Contestant (in Magpie Tech’s sole discretion), (c) sending such person direct marketing messages on Magpie Tech’s behalf, including, at Magpie Tech’sinstruction, by Magpie Tech affiliates, marketing agencies and/or third parties; and (d) any other purposes to which the Contestant has consented when participating in the Prize Draw.

● The Winning Contestant’s acceptance of any Prize constitutes permission (except where prohibited) for Magpie Tech to use the Winning Contestant’s name, YouTube handle, photograph, video footage, likeness, statements, biographical information, voice, and address (city and country) for any and all public relations, advertising and/or promotional purposes as determined by Magpie Tech, in all forms of media and by all manners (now and hereafter known), in perpetuity, without notice, consent, review or approval or further
compensation.

No other sponsors

● This Prize Draw is in no way sponsored, endorsed or administered by or associated with (i) Instagram, Messenger, Meta (Facebook), Twitter, TikTok, YouTube, or any other social media platform, or (ii) any other third-party brand. Each Contestant acknowledges that all information and materials that such Contestant submits to enter this Prize Draw is submitted to Magpie Tech via the YouTube video and not to (i) Instagram, Messenger, Meta (Facebook), Twitter, TikTok, YouTube, or any other social media platform, or (ii) any other third-party brand. Each Contestant agrees that (i) Instagram, Messenger, Meta (Facebook), Twitter, TikTok, YouTube, or any other social media platform, and (ii) any other third-party brand, shall not be liable in any way to such Contestant in respect of the Prize Draw. Each Contestant fully releases and discharges (i) Instagram, Messenger, Meta (Facebook), Twitter, TikTok, YouTube, or any other social media platform, and (ii) any other third-party brand, from and relinquishes all rights, claims, and actions that such Contestant may have or acquire against any such party.

Disqualification

● Magpie Tech reserves the right, at its sole discretion, to disqualify any participant or winner who does not or did not comply with these Terms and Conditions, or who, in Magpie Tech’s sole judgment, acted in a fraudulent, dishonest, or unfair manner toward other participants. This includes, but is not limited to, manipulating the operation of the prize draw, using multiple or fake accounts to interfere with the entry process, hacking, deception, fraud, harassment, or threatening other participants or Magpie Tech representatives.

 

Suspension or Cancellation of the Prize Draw

● Subject to approval by the relevant authorities, if for any reason the prize draw cannot proceed as planned (for example, early deletion of the campaign video due to third-party software, early or accidental deletion of the campaign video by another individual, suspension of a social media account, war, terrorism, emergency or disaster (including natural disasters), computer virus infection, bugs, tampering, unauthorized intervention, technical errors affecting the administration, security, fairness, integrity, or proper conduct of the campaign, or changes to the terms of service, access, or permissions of social media services that negatively impact the prize draw — including but not limited to these examples), Magpie Tech reserves the sole discretion to suspend the prize draw during the event period or to cancel or restart the prize draw in its entirety.

 

Communication Costs

● No communication fees will be charged to participants entering the prize draw.

 

Additional Information and Complaints Procedure

● A copy of these Terms and Conditions will be provided free of charge to any participant upon request. Additional information related to the prize draw is also available by emailing skye@magpie.kr. Any complaints regarding the prize draw should be submitted to skye@magpie.kr, and Magpie Tech will address them as promptly as possible.

 

Void Where Prohibited

● This prize draw (including any related promotions) is void where prohibited by law.

Governing Law

● The prize draw and these Terms & Conditions, as well as any contractual or non-contractual obligations arising out of or in connection with the prize draw and these Terms & Conditions, shall be governed by and interpreted in accordance with the laws.

Jurisdiction and Courts

● Any disputes arising out of or in connection with the prize draw and these Terms & Conditions shall be subject to the exclusive jurisdiction of the competent courts.
